Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 17, 2007, J. Roland Vetter tendered his written resignation as President and Chief Financial Officer of the Company (the "Resignation Date").
The Board of Directors accepted Mr. Vetter's resignation on October 23, 2007. On October 24, 2007, Mr. Vetter also communicated to the Board of Directors his resignation from the Board effective immediately. Mr. Vetter is pursuing other opportunities and had no disagreements with the Company regarding its policies, operations, or practices.

On October, 23, 2007, Tim B. Acton, Chief Executive Officer of the Company, was appointed by the Board of Directors to the position of President of the Company, effective on the Resignation Date, in order to replace the position of President vacated by Mr. Vetter. The position of Chief Financial Officer, which also will be vacated by Mr. Vetter on the Resignation Date, shall remain open until a suitable replacement is located.
